These Terms of Service (“ToS”) govern the use of offerings from Teton Tech & Media LLC and its DBAs (“PROVIDER”) and apply to all services, trade secrets, and other intellectual property provided to clients (“CLIENTS”). This includes, but is not limited to: processes, documents (including strategy notes provided by PROVIDER), training materials, mobile applications, website designs and code, consulting services, and any other services or materials of value (collectively, “Services”).
1. Acceptance of Terms
By accessing or using our Services, you agree to be bound by these ToS. If you do not agree to these terms, immediately return all property, both physical and intellectual, to PROVIDER.
2. Scope of Application
These Terms of Service apply to all services, products, and materials provided by PROVIDER. By using any of our services or materials, you agree to be bound by these ToS in their entirety, regardless of which specific service or material you are using. This includes, but is not limited to:
- Information technology applications developed by PROVIDER.
- Consulting services including strategies, processes, trade secrets, and documents provided by PROVIDER.
- Access to and use of websites owned or operated by PROVIDER.
- Any other products, services, documents, software, or materials of value provided by PROVIDER.
3. Modifications to the ToS
We reserve the right to modify these ToS at any time. Any changes will be effective immediately upon posting to this website or through in-app updates. Continued use of the Services after such changes constitutes your acceptance of the updated ToS. CLIENTS may opt out of specific provisions or updates by submitting a written request mailed to PROVIDER’s address at 280 E Lorene St, Apt 4102, Rexburg, ID 83440, within 30 days of the provision’s effective date. Opt-out requests may be subject to additional agreements, and PROVIDER reserves the right to accept or reject such requests based on service requirements.
4. User Accounts and Responsibilities
- Account Creation: You may be required to create an account to access certain Services. You agree to provide accurate and complete information during the registration process and to keep this information up-to-date.
- Security: You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.
- Compliance: You agree to use the Services in compliance with all applicable laws and regulations.
5. License and Intellectual Property
- License Grant: PROVIDER grants CLIENT a limited, non-exclusive, non-transferable license to access and use the Services for their intended purposes, subject to these ToS. The license to use offerings from PROVIDER is valid only while CLIENT is paying any agreed-upon service charges.
- Intellectual Property: All content, software, processes, documents, materials, and any other deliverables created or provided by PROVIDER during the course of services are and shall remain the intellectual property of PROVIDER. This includes, but is not limited to, any custom code, designs, strategies, documentation, and training materials developed by PROVIDER.
CLIENT agrees that they do not obtain any ownership rights to PROVIDER’s intellectual property. CLIENT is granted a limited, non-exclusive, non-transferable license to use the intellectual property provided by PROVIDER solely for the purposes outlined in these ToS and only while CLIENT is in compliance with the payment terms and other obligations under these ToS.
All client-generated content remains the property of CLIENT, but CLIENT grants PROVIDER a non-exclusive, royalty-free, perpetual, and irrevocable license to use, display, distribute, and modify such content for marketing, promotional, and portfolio purposes, even after the termination of services. - Superseding Agreements: The terms regarding intellectual property in these ToS may be superseded or modified by a separate, client-specific agreement entered into by PROVIDER and CLIENT. Any such agreement must be in writing and explicitly reference this section of the ToS to have effect.
6. Termination and Access Revocation
- Termination by CLIENT: CLIENT may terminate their use of the Services at any time by discontinuing access and use.
- Termination by PROVIDER: PROVIDER may suspend or terminate CLIENT’s access to the Services at its discretion, including for breach of these ToS or if PROVIDER ceases to offer the Services.
- Effect of Termination: Upon termination, CLIENT’s license to use the Services will immediately cease, and CLIENT must delete any copies of PROVIDER's materials, including software, documents, and other intellectual property, in their possession. PROVIDER reserves the right to repossess any and all content, materials, and deliverables provided to CLIENT, including the removal of access to such content on CLIENT’s platforms, if applicable.
7. Continued Use and Acceptance
CLIENT’s continued use of any Services provided by PROVIDER, including accessing our app, website, or consulting services, constitutes acceptance of these ToS and any subsequent updates.
8. Limitation of Liability
To the fullest extent permitted by law, PROVIDER shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- CLIENT’s use or inability to use the Services.
- Any unauthorized access to or use of PROVIDER’s servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from the Services.
9. Supersession of Prior Agreements
These Terms of Service (ToS) supersede any and all prior agreements or understandings, whether written or oral, related to the services provided by [Your Company Name]. By accepting these ToS, you acknowledge that they govern all services provided going forward and replace any previous agreements or understandings related to such services.
10. Governing Law
These ToS are governed by and construed in accordance with the laws of the state of Idaho, without regard to its conflict of law principles. Any disputes arising out of or related to these ToS or the Services shall be resolved exclusively in the courts located within Madison County, Idaho.
11. Severability
If any provision of these ToS is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
